Zhone Technologies, Inc. (NASDAQ: ZHNE), a global leader in network access
solutions for fiber, copper and wireless broadband infrastructures, today
announced that Nancy Pierce has agreed to serve as a director on Zhone's
Board of Directors and appoints Ms. Pierce to serve on the Audit Committee.
Ms. Pierce will serve as a Class I director, with her initial term expiring at
the 2011 annual meeting of stockholders.
Nancy Pierce has over 28 years experience in public and private companies in
strategy, business development, corporate governance, finance, operations,
legal, information systems, financing, investor and media relations, and
mergers and acquisitions.
"Nancy brings both industry experience and financial expertise to
Zhone's Board," stated Mory Ejabat, Zhone's Chairman and Chief
Executive Officer. "We're looking forward to her input in helping
guide our continued growth."
Ms. Pierce currently serves as President and Managing Director of KELD LLC, an
investment management and strategic advisory company focusing on advising and
investing in young technology companies. In addition to her duties as
President of KELD, Ms. Pierce is on the Board of Directors at Cellport Systems
in Boulder, Colorado and is the Managing Director of MCAP LLC. Ms. Pierce also
serves on many advisory boards including the University of Colorado Technology
Transfer Office, Escape Media Group and the University of Colorado, Denver,
Business School.
Prior to KELD, Ms. Pierce was co-founder, director, chief financial officer,
treasurer, corporate development officer and secretary of publicly traded
Carrier Access Corporation. She served as chief financial officer and
treasurer for Carrier Access from 1992 through 2001, interim chief financial
officer in 2004 and corporate development officer and secretary from 2001
through 2007. Prior to co-founding Carrier Access, Ms. Pierce held senior
positions at IBM and ROLM Corporation in Silicon Valley.

Ms. Pierce has served on many public and private Boards. In addition to her
board position at Carrier Access, Ms. Pierce has served as the Chairman of the
Audit Committee and Chairman of the Compensation Committee on the Board of
Koala Corporation, a publicly traded corporation. Ms. Pierce has a B.S. from
Colorado State University, an MBA from California State University - Chico,
